Nonprofit corporations are subject to the prohibitions on private inurement, self-dealing, and other transactions that benefit their officers and directors in a personal manner.
Basically, no portion of the income or assets of the nonprofit may be paid or distributed to any private individual except in furtherance of the Mission. One major exception to this rule is that “reasonable” compensation can be paid for services actually performed for the corporation.  


Thus, salaries, benefits, and other forms of compensation paid to the CEO and other key employees are permissible provided that such compensation is approved by “independent directors” and is reasonable in the context of what similar organizations pay to their employees under similar circumstances. The IRS and the courts have set forth standards for determining whether these requirements are satisfied.
