"In order to give the organization the greatest freedom to act within its object, bylaws should be made no more restrictive nor more detailed in specification than necessary.” Roberts Rules of Order
We have frequently been asked why an organization needs bylaws. Aside from being required by the IRS, every organization needs to have rules, procedures and processes that allow the organization to function. It's the best way to be sure that everyone is on the same page, pursuing worthwhile tasks that will lead the organization to live its mission.
What do good bylaws look like? Here'a a simple example: "The Chair, with the assistance of the Secretary, will be responsible for calling the monthly Board meeting, preparing the agenda and sending, via email, to Board members two weeks in advance."
The most important elements of bylaws is to spell out each roll, what will fall under the responsibility of each title?
There are numerous free examples of nonprofit bylaws online. These can work as a guide to include all the needed elements.
Another good help is to speak to someone who already has a nonprofit. Let them guide you. Look at the bylaws of that organization. Ask them to walk you through the thinking behind of each bylaw. An understanding of this thinking can help you to think through the bylaws you need to have in place.
It may seem tedious but bylaws are the most important element of starting a nonprofit.
If you are already leading a nonprofit, review your bylaws at least annually. Make sure you are up-to-date on the needs your organization has to function properly.
